These Terms of Service govern your access to and use of RegSP Dash (the “Service”). By clicking “I Agree,” creating an account, or using the Service, you agree to these Terms. If you are using the Service on behalf of a firm, you represent that you have authority to bind that firm to these Terms.
RegSP Dash provides a self-assessment tool that walks registered investment advisers through the requirements of Regulation S-P. The Service generates a gap analysis, a set of draft policy templates, and a PDF documentation package based on your assessment responses.
The output is intended as a draft starting point for your compliance efforts. The templates and gap analysis do not constitute legal advice and do not guarantee that your firm will pass an SEC examination, satisfy all applicable legal requirements, or avoid regulatory action. You remain solely responsible for reviewing all documentation with qualified legal counsel before relying on it.
You must be at least 18 years old and authorized to submit information on behalf of the investment advisory firm you identify during registration.
You agree to provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. Notify us at hello@regspdash.com promptly if you believe your account has been compromised.
Payments are processed by Stripe, Inc. By providing payment information you agree to Stripe's terms of service. We do not store your payment card data.
One-time purchase ($49). Non-refundable once the audit package PDF has been generated and made available for download. If a technical error prevents download, contact us within 7 days.
Monthly and annual subscriptions. Your subscription will be billed automatically in advance on a recurring basis. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW at the end of each billing period at the then-current rate unless you cancel before the renewal date. You may cancel at any time through your account settings or by emailing hello@regspdash.com. Cancellation takes effect at the end of the current billing period; access continues through that date. No prorated refunds are issued for unused portions of a billing period.
We may change pricing with 30 days' written notice to active subscribers. Continued use after the effective date of a price change constitutes acceptance of the new rate.
We grant you a limited, non-exclusive, non-transferable license to use the Service and download generated documentation for your firm's own internal compliance purposes.
You may not:
The Service, including all templates, assessment questions, methodology, and software, is owned by RegSP Dash. Your license to use generated documentation for your firm's internal purposes does not transfer ownership of any intellectual property.
Your firm's data (CRD number, AUM, assessment responses) remains yours. We do not claim ownership over information you submit.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted or error-free, that the templates will satisfy all requirements of Regulation S-P or other applicable regulations, that use of the Service will prevent regulatory findings or enforcement actions, or that the content reflects the most current state of the law at any given time.
Regulation S-P requirements may change. You are responsible for monitoring regulatory developments and consulting legal counsel.
We maintain reasonable technical and organizational safeguards to protect the information you submit to the Service. In the event we discover unauthorized access to your firm's information stored in our systems, we will provide you with written notice within 72 hours of becoming aware of the incident. This notification timeline is consistent with the service provider obligations under the amended Regulation S-P Safeguards Rule (17 C.F.R. § 248.30).
Notice will be provided to the contact email address associated with your account. You are responsible for keeping that address current.
To the fullest extent permitted by law, RegSP Dash and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including regulatory fines, examination findings, lost profits, or data loss, arising from your use of or inability to use the Service.
Our total liability for any claim arising out of these Terms or the Service will not exceed the greater of $100 or the fees you paid to us in the 12 months preceding the claim.
This limitation of liability does not apply to claims arising from our gross negligence, willful misconduct, or fraud.
You agree to indemnify and hold harmless RegSP Dash from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your firm's failure to comply with applicable law.
We may suspend or terminate your account if you violate these Terms, fail to pay amounts owed, or engage in conduct harmful to the Service or other users. You may terminate your account at any time through your account settings or by emailing hello@regspdash.com. Termination does not entitle you to a refund except as described in Section 4.
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, conducted in English. Each party waives the right to participate in class action proceedings. This arbitration agreement applies only to commercial disputes between businesses and does not affect any regulatory obligations or enforcement authority of the SEC or other government agencies.
We may update these Terms from time to time. If we make material changes, we will notify registered users by email at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
